Best Entity Management Software (2026): Top 8 Compared

Updated October 2026By StatWharf Editorial8 vendorsMethodology

Entity management software keeps one record of a group's legal entities: ownership, directors and officers, registrations, minute books, filing deadlines and governing documents. The eight products here split three ways. Diligent Entities, Athennian and MinuteBox are corporate secretarial platforms built around the entity record and structure charts. CSC and Computershare pair their software with managed entity compliance and governance services. Commenda, Filejet and Harbor Compliance start from filings and registered agent work, adding a compliance calendar and an entity dashboard, and Commenda extends that to formation and tax in more than 70 countries.

These comparisons draw on public product information, not hands-on testing of every tool. Source records identify available references and checks; missing evidence is marked. Buyer fit is an editorial assessment, not a measured performance score. How to use this research.

Entity management software gives legal, finance and tax teams one record of every legal entity in a group: who owns it, who its directors and officers are, where it is registered, which filings are due and where its minute book lives. Buyers also search for the category as legal entity management software, corporate secretarial software, subsidiary management software or compliance calendar software. This page compares products that manage entity records and filing obligations. Pure cap table tools and board meeting portals are outside its scope.

The eight products compared here fall into three groups. Diligent Entities, Athennian and MinuteBox are corporate secretarial platforms built around the entity record. CSC and Computershare GEMS combine software with managed compliance services. Commenda, Filejet and Harbor Compliance start from filings, registered agent work and a compliance calendar. All pricing notes were checked in October 2026. Every entry has a dated source check, so the order follows content sequence. That order is not a measure of product quality or a ranking.

Related pages cover board portal software, multi-entity accounting software and legal case management software.

Diligent Entities

enterprisediligent.com ↗
Consider forCorporate secretarial and legal teams at multinational groups that want one permissioned corporate record across 100+ jurisdictions, linked to board approvals
Pricing notesDiligent does not publish a price for Diligent Entities. The product page offers a pricing request and a demo request (checked Oct 2026)
Feature to evaluateEntity documents route to Diligent Boards for approval and e-signature or to Diligent Data Room for sharing, and staff can query entity data through enterprise LLMs

Diligent Entities is the entity management product in Diligent's governance, risk and compliance suite, sold alongside Diligent Boards, BoardEffect and the Diligent One platform. It holds entity data, ownership, authorities and filings in one permissioned corporate record. Diligent states that the record can track obligations across more than 100 jurisdictions and is backed by managed compliance support.

The product generates structure charts and reports from the entity record. Diligent describes its AI features as human-led: the system turns source documents into a reviewed corporate record and answers questions from that record, and each answer shows its source. Diligent says every consequential AI action needs human approval and is logged in an audit trail.

The main link to the rest of the suite is approvals. Entity documents can move into Diligent Boards for board approval and electronic signature, or into Diligent Data Room for secure sharing during a deal or audit. Diligent also describes controlled self-service access for colleagues outside the corporate secretarial team through enterprise LLMs such as Claude or ChatGPT, which is meant to cut routine requests for signatory or ownership details.

The product page names corporate secretaries, general counsel, legal operations, CFOs, tax teams and compliance officers as users. It cites a customer, Fortive, managing more than 300 global entity records in the product. Diligent's ROI and cost-reduction figures on the page are vendor claims and were not verified. Pricing is available only on request.

Potential strengths

  • Tracks obligations across more than 100 jurisdictions with managed compliance support
  • Part of a wider board, risk and compliance suite

Trade-offs

  • No published pricing
  • Buyers that only need entity records may not use the wider Diligent suite

Athennian

mid-marketathennian.com ↗
Consider forLegal, finance and tax teams at corporate groups, private equity firms, funds and family offices that need ownership, appointments and minute books in one system
Pricing notesAthennian lists Essentials at $25,000 per year with 100 entities included. Professional includes 200 entities and Enterprise includes 300 entities; both are priced through sales. Add-ons include Athennian AI, enterprise SSO and SCIM, additional entities and, on higher tiers, open API access and a sandbox (checked Oct 2026)
Feature to evaluateStructure charts export to SVG, PPTX, PDF, PNG and XLSX and can show historical views, voting details and non-ownership relationships

Athennian is an entity management platform it describes as Governance Ops software. Its modules cover entity and people records, equity and debt structures, structure charts, controls and governance, document management, appointments for directors, officers and signing authorities, and tasks and reports. The company markets editions for corporate groups, private equity and funds, private markets, professional services and family offices.

Athennian publishes its entry price, which is unusual in this category. Essentials costs $25,000 per year and includes 100 entities, centralised entity management, custom reporting, structure charts, supported e-filings and ultimate beneficial ownership tracking. Professional, at 200 included entities, adds bulk editing, advanced charts, historical reporting and granular ownership reporting. Enterprise, at 300 entities, adds advanced security and access controls, a sandbox and a read API.

Structure charts are generated from entity data and can show ownership, governance and commercial relationships. They export to SVG, PPTX, PDF, PNG and XLSX. Athennian AI is sold as an add-on. The company says it suggests file names, stages signed resolutions for review and runs workflows that update registrations and signatories from source documents.

Athennian states that the platform is SOC 2 compliant, with annual penetration testing and encryption at rest. Customers can time-limit data access for outside counsel. Onboarding uses AI, consulting partners and government-source data to build the initial record.

Potential strengths

  • Only vendor here with a published entry-level price
  • Bi-directional API and integrations with iManage, DocuSign, Adobe Sign, Office 365 and Google Drive

Trade-offs

  • Bulk editing and historical reporting start on the Professional tier
  • Entry plan is an annual commitment at $25,000

CSC Entity Management

enterprisecscglobal.com ↗
Consider forLegal and compliance teams at large companies that want entity software and experienced compliance staff from one provider
Pricing notesCSC describes its pricing as one flat fee with unlimited users, full features, updates, training and expert support included. No figure is published; prices are requested through an inquiry form (checked Oct 2026)
Feature to evaluateEntity data syncs with CSC services, and structure chart modelling shows potential or pending ownership changes

CSC Entity Management is the software side of CSC's entity solutions business, which also provides registered agent, compliance and corporate services. CSC positions the product as software plus expert support: its compliance professionals help keep records accurate, and governance data syncs automatically with CSC services to reduce manual entry.

The feature list covers officer and director data, electronic minute books and governance documents, document generation through a guided workflow, and e-signature routing through Docusign. It also covers ownership, stock and shareholder tracking, automated structure charts and chart modelling of potential or pending ownership changes. Users can create unlimited custom fields and track doing-business-as names, prior names and merger history.

An automated compliance calendar manages US and global due dates such as annual reports. CSC lists prebuilt integrations that submit electronic filings directly to Companies House and the SEC. A Workday integration reflects officer and director changes from the human capital system, and APIs support bi-directional integrations with other enterprise systems. AI features handle bulk document imports, route documents to the right entity and folder, and summarise document contents.

CSC states that pricing is one flat fee covering unlimited users, all features, updates, training and support, but it does not publish the amount. The page cites a New York Law Journal readers' award for best entity management system for 11 years running, which is a reader poll rather than an independent test.

Potential strengths

  • Unlimited users under a flat fee
  • Unlimited custom fields and tracking of DBA names, prior names and merger history

Trade-offs

  • No published price figure
  • Strongest fit when the buyer also uses CSC services

Computershare GEMS

enterprisecomputershare.com ↗
Consider forOrganisations with large, multi-jurisdiction entity portfolios that want software and governance services from Computershare's entity solutions business
Pricing notesComputershare does not publish a price for GEMS. The product page states there are no added fees for additional modules and directs buyers to contact the company for details or a demo (checked Oct 2026)
Feature to evaluateAdministrators can build custom screens and fields, and reports export to PDF, Word, Excel and HTML

GEMS, the Global Entity Management System, is Computershare's legal entity management software. It sits in the company's Entity Solutions business with entity compliance services, entity governance and company secretarial support, the BoardWorks board portal and Section 16 Manager. Computershare markets the combination as a single partner for entity technology, compliance and governance.

GEMS centralises entity data in one repository and presents it through customisable dashboards. Automated reporting can produce recurring reports, which export to PDF, Word, Excel and HTML. A charting tool builds organisational structure charts with auto-fill options. The GEMS Compliance Tracker shows compliance status, upcoming deadlines and potential delays, and the system sends alerts and reminders.

Customisation is a stated strength: administrators can tailor the information shown and build custom screens and fields for data the standard layout does not hold. The GEMS Web API shares entity data with other applications across the business. GEMS AI provides analytical answers, translates, summarises and compares documents, and automates some tasks and workflows.

Computershare states that the platform scales with no added fees for additional modules, but it does not publish base pricing. The product page quotes the secretariat team at Landsec, a UK property company, on migrating from a previous system with Computershare's help. Buyers should ask for a demonstration on their own data and confirm which compliance services are bundled.

Potential strengths

  • No added fees for additional modules, according to Computershare
  • Web API shares entity data with other business applications

Trade-offs

  • No published price
  • Product documentation is less detailed than some competitors' public pages

MinuteBox

mid-marketminutebox.com ↗
Consider forLaw firms managing client minute books and corporate legal departments managing subsidiaries, particularly those using Canadian registries
Pricing notesMinuteBox tailors every plan and publishes no figures; pricing depends on number of entities, user seats and features. Corporate counsel tiers run from Starter (up to 50 entities, 2 write users) to Enterprise (1,250+ entities, 10 write users). Law firm tiers run from up to 300 entities to more than 4,000. Board Portal, Data Room and Contract Management are add-ons (checked Oct 2026)
Feature to evaluateRegistry Services handles Canadian incorporations, filings and searches in the same platform as entity records

MinuteBox is a corporate governance platform built around entity and subsidiary management and digital minute books. Alongside the core entity product it sells a data room, contract management, a board portal, Registry Services and MinuteBox AI. Its use cases include company incorporation, global entity management, electronic government filings, compliance calendar tracking, cap table management and ownership charts.

MinuteBox structures its plans by buyer type. Law firm plans start at Starter for up to 300 entities with unlimited users, then Starter Plus up to 700, Small Enterprise up to 4,000 and Enterprise above 4,000, which adds the compliance module, single sign-on and a custom precedent package. Corporate counsel plans start at up to 50 entities with 2 write users and rise to Enterprise for 1,250 or more entities with 10 write users. Pricing for every plan is set individually based on entities, seats and features.

Registry Services is the main regional distinction. MinuteBox describes it as a registry platform for Canada that handles incorporations, filings and searches, and it lists an Ontario Business Registry integration. Other integrations include iManage, Microsoft Office, DocuSign, Acrobat Sign, Google Cloud and Intapp Walls.

MinuteBox states that it holds SOC 2 Type II and ISO 27001, 27017 and 27018 certifications. Its site names private equity, banking, insurance, pension funds, real estate and not-for-profits as served sectors.

Potential strengths

  • Separate plan structures for law firms and corporate legal teams
  • States SOC 2 Type II and ISO 27001, 27017 and 27018 certification

Commenda

mid-marketcommenda.io ↗
Consider forFinance and controller teams at growing companies with international subsidiaries that want entity records, filings and formation handled in one platform
Pricing notesCommenda does not publish entity management pricing. It offers three scopes: documents and cap table, compliance and obligations, and fully managed entities, and asks buyers to request a demo (checked Oct 2026)
Feature to evaluateThe same entity record feeds Commenda's indirect tax, transfer pricing and corporate tax products

Commenda is a global tax and entity compliance company. Its entity management product is aimed at finance teams that manage international subsidiaries and sits alongside its incorporation, local director, registered address, indirect tax, transfer pricing and corporate tax products. Commenda states that it supports more than 70 countries.

The product has four parts. Formation handles incorporation through one workflow across supported jurisdictions, with resident director, registered agent, virtual office and banking support. Governance shows the corporate tree with ownership percentages, ultimate beneficial ownership registers, a version-controlled shareholder cap table and board and officer records with term tracking. Obligations maps filings, renewals and VAT deadlines per entity into a compliance calendar with reminders and filing confirmations. Documents provides a versioned vault per entity with expiry tracking and read-only sharing for auditors.

Buyers choose a scope. The lightest covers documents and the cap table. The middle scope adds the compliance calendar while the customer keeps control of filings. The fully managed tier hands formation, registered agents, annual filings, UBO updates and board records to Commenda. The company says a live compliance calendar takes about 14 days and that it connects to NetSuite, Xero and QuickBooks.

The distinguishing point is that entity data feeds Commenda's tax products, so indirect tax registrations and transfer pricing documentation draw on the same entity structure. Commenda also publishes a compliance calendar tool on its site. It does not publish entity management prices.

Potential strengths

  • Covers formation, registered agent and resident director services as well as records
  • ERP connections to NetSuite, Xero and QuickBooks

Trade-offs

  • No published pricing
  • Positioned for finance teams; less detail on minute books and board resolutions than legal-first tools

Filejet

specialistfilejet.com ↗
Consider forIn-house legal, finance and tax teams, and law and accounting firms, that need US annual reports, registered agent service and BOI filings automated across many entities
Pricing notesFilejet lists Standard at $150 per entity registration per year, with digital registered agent service, alerts and in-platform documents, and Professional at $350 per entity registration per year, adding automated filings and deadline tracking. Premium is a custom quote for complex multi-entity needs. Volume discounts are available on Standard and Professional (checked Oct 2026)
Feature to evaluateSoftware, registered agent service and annual report filing are priced together per registration

Filejet is a US entity compliance platform that combines software with registered agent and filing services. It describes its product as automating entity reporting: organising and filing required reports every year in every jurisdiction where an entity is registered. Coverage includes state annual reports, beneficial ownership information filings, org charts and renewals for business licences and doing-business-as names.

Filejet sells to in-house teams, banks, professional firms and strategic partners. Banks and accounting firms can resell its filing and registered agent services to their own clients.

Pricing is published per entity registration per year. Standard, at $150, provides a digital registered agent with automated alerts and document visibility in the platform. Professional, at $350, adds automated annual report filing and deadline tracking. Premium is a custom package for complex requirements and covers international entity compliance, corporate secretarial services, independent director services and a managed entity management service. Volume discounts apply to the first two tiers.

The platform includes an entity dashboard, reminders, calendar integration, a payments portal, a document repository with tagging, AI document summaries and bulk entity upload. The pricing page lists formations, amendments, good standing certificates, foreign qualifications, dissolutions and similar transactional filings as free on the platform. Buyers needing minute books or board resolutions should check whether Filejet covers them.

Potential strengths

  • Published per-registration pricing
  • Formations and many transactional filings listed as free on the pricing page

Trade-offs

  • Focused on US state compliance rather than global corporate secretarial work
  • International compliance and corporate secretarial services sit in the custom Premium tier

Harbor Compliance Entity Manager

smbharborcompliance.com ↗
Consider forUS companies, nonprofits and professional firms that need visibility of where entities are registered and when annual reports are due
Pricing notesHarbor Compliance does not publish a price for Entity Manager. Scheduling a demo provides a free trial account and a complimentary entity status health check (checked Oct 2026)
Feature to evaluateThe Compliance Core database sets annual report due dates automatically where available

Harbor Compliance provides compliance software and filing services for US businesses, nonprofits and professional firms. Entity Manager is one component of its software suite, which also includes License Manager, Tax Manager, Records Manager and a requirements research engine. The company also sells registered agent, annual report, foreign qualification, formation and charitable registration services.

Entity Manager focuses on registration visibility and annual report tracking. An interactive map shows where each entity is registered; hovering over a state previews the registration count and clicking opens the registrations. The product connects to secretary of state databases where available, so registrations, registration numbers and public information populate automatically instead of being keyed in by hand.

Due dates come from Harbor Compliance's Compliance Core database, which the company says it maintains as state requirements change. Entity Manager uses it to set annual report due dates and send notifications where data is available. Harbor Compliance positions the product as a way to keep good standing, avoid late fees, file corporate reports faster and keep continuity through staff and vendor changes.

Pricing is not published. Prospective customers schedule a demo, which comes with a free trial account and an entity status health check. Buyers that need ownership structures, minute books or international entities should compare Entity Manager with the corporate secretarial platforms on this page, as Harbor Compliance does not describe those features.

Potential strengths

  • Free trial account offered after a demo
  • Part of a suite with license, tax and records management

Trade-offs

  • No published price
  • US state compliance focus; no global corporate secretarial features described

How to choose a vendor

Count entities and jurisdictions before asking for quotes

Several vendors price by entity count. Athennian's Essentials plan includes 100 entities at $25,000 per year, MinuteBox tiers run from up to 50 entities to more than 4,000, and Filejet charges per entity registration per year. A group with 40 US subsidiaries and a group with 400 entities in 60 countries are buying different products, so start with an accurate entity and jurisdiction list.

Decide how much of the work to outsource

Some products are software the legal team runs itself. Others bundle filing and registered agent work. Commenda offers a fully managed tier, Filejet's plans include registered agent service and annual report filing, and CSC and Computershare sell compliance and company secretarial services alongside their platforms. Decide whether the goal is a better record or fewer tasks for the team.

Check the structure chart and ownership model

Structure charts are where entity data gets used by finance, tax and deal teams. Athennian, Diligent, CSC and Computershare all generate charts from entity data, and CSC can model pending ownership changes. Ask for a demonstration on the group's own structure, including joint ventures, partnerships and non-ownership relationships.

Confirm e-filing coverage and integrations

CSC lists prebuilt electronic filing to Companies House and the SEC and a Workday integration for officer changes. Athennian lists iManage, DocuSign, Adobe Sign, Office 365 and Google Drive integrations, and Commenda connects to NetSuite, Xero and QuickBooks. Map which registries and systems matter before shortlisting.

Frequently asked questions

What is entity management software?

Entity management software keeps a central record of a group's legal entities: incorporation details, ownership and share structure, directors and officers, registrations, minute books and governing documents. It tracks filing deadlines such as annual reports and generates structure charts and reports for legal, finance, tax and audit teams. Some products also file documents with registries or bundle registered agent service.

Who uses entity management software?

Corporate secretaries, in-house legal teams and paralegals are the main users, with finance, tax and compliance teams reading the data. Law firms use it to manage client minute books, as MinuteBox's law firm plans show. Private equity firms, funds and family offices use it for fund and holding structures, which Athennian and MinuteBox both market to.

How much does entity management software cost?

Two vendors here publish figures. Athennian Essentials costs $25,000 per year with 100 entities included. Filejet charges $150 or $350 per entity registration per year, including registered agent service. CSC states a flat fee with unlimited users but publishes no amount. Diligent, Computershare, MinuteBox, Commenda and Harbor Compliance quote on request, typically by entity count, users and modules.

What is the difference between entity management software and a compliance calendar?

A compliance calendar lists filing deadlines per entity and jurisdiction. Entity management software includes a calendar but also holds ownership, officers, documents and structure charts. Commenda, CSC, Computershare and Harbor Compliance all build calendars from jurisdiction data. Filing-led tools such as Filejet and Harbor Compliance centre on the calendar, while Diligent, Athennian and MinuteBox centre on the corporate record.

Do entity management platforms file annual reports for you?

Some do. Filejet's Professional plan includes automated annual report filing, and Commenda's fully managed tier runs filings for the customer. CSC and Computershare offer compliance services alongside their software. CSC also lists direct electronic filing to Companies House and the SEC. Diligent, Athennian and MinuteBox are primarily software, though Athennian lists supported e-filings and MinuteBox offers Canadian registry services.

Can entity management software track beneficial ownership?

Athennian lists ultimate beneficial ownership tracking in every plan, and Commenda maintains UBO registers across entities. Filejet lists beneficial ownership information filings among its automated services. Diligent, CSC and Computershare track ownership and shareholder data used for structure charts. Buyers with UBO register duties in several countries should confirm jurisdiction coverage with each vendor.

Is entity management software the same as board portal software?

No. Board portals manage meetings, board books and director voting; entity management software manages the legal record of each entity. The two connect: Diligent routes entity documents to Diligent Boards for approval, MinuteBox sells a board portal add-on, and Computershare offers BoardWorks. See the board portal software comparison for meeting tools.

How were these entity management products selected and checked?

Candidates came from buyer searches for entity management software and corporate secretarial tools. Each product and pricing page cited here was fetched on 25 October 2026, and prices appear only where the vendor publishes them. No product was tested hands-on, and no entry is vendor-confirmed. The order follows content sequence and is not a ranking.
